UNIQUE FLOOR SUPPLY – TERMS AND CONDITIONS OF SALE
1. General All sales made by Unique Floor Supply ("UFS") are subject to the following Terms and Conditions. By purchasing from UFS, the customer ("Buyer") agrees to be bound by these terms.
2. Prices and Payment All prices are in U.S. Dollars unless otherwise stated. Payment terms are as indicated on invoices or agreed upon in writing. Late payments may be subject to interest charges as permitted by law.
3. Returns and Restocking Fee Returns will be accepted within 30 calendar days of the original purchase date, provided materials are unopened, unused, and in resalable condition. All approved returns are subject to a 25% restocking fee. Freight charges related to returned products are the responsibility of the Buyer.
4. Inspection Upon Delivery It is the responsibility of the Buyer to inspect all materials immediately upon delivery. Any claims for damage, defects, or shortages must be reported to UFS in writing within two (2) hours of delivery. Failure to report issues within this timeframe will constitute acceptance of the goods as delivered.
5. Installation & Acclimation All flooring products must be installed in accordance with NWFA (National Wood Flooring Association) guidelines, including proper acclimation procedures. UFS is not liable for issues arising from improper storage, handling, acclimation, or installation.
6. Warranty and Liability All warranties, if any, are those of the manufacturer. UFS makes no independent warranties. UFS shall not be liable for indirect, incidental, or consequential damages arising from any product defect, delay, or non-performance.
7. Order Cancellation Orders may be canceled only with written consent from UFS. A restocking fee or cancellation fee may apply if the product has already been shipped or prepared for shipment.
8. Custom and Special Orders Custom or special order items are non-returnable and non-refundable. A deposit may be required at the time of ordering.
9. Arbitration Clause Any dispute, controversy, or claim arising out of or relating to these Terms and Conditions or any sale made by UFS shall first be submitted to binding arbitration in New York, in accordance with the rules of the American Arbitration Association (AAA). Judgment upon the award rendered may be entered in any court having jurisdiction. Parties agree that arbitration shall precede any court proceedings unless otherwise required by law.
10. Governing Law These terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.
11. Acceptance of Terms Placement of an order with UFS constitutes agreement to these Terms and Conditions in full. UFS reserves the right to update or modify these terms at any time without prior notice.
